Teradata Legal is expanding and building capabilities to further drive our company transformation. We are seeking a highly-skilled and technology-focused Commercial Attorney to support our Product Development group. 

This position will provide effective counseling, drafting, review, and negotiation of a broad range of purchasing, engineering, marketing, and sales agreements. 

What you’ll do:

Working under the supervision of the Chief Commercial Counsel, your principal duties will be to: 
• Provide transactional legal support for the U.S. sales contract managers, purchasing commodity managers, and research and development personnel
• Review, draft and negotiate agreements, letters and other documents, including those relating to sales/licensing/as a service to end-user customers, relationships with partners, development of software, and purchases/licensing from vendors
• Advise the open source compliance team and developers on requirements to comply with open source licenses, including effects of different architectural options
• Advise clients on commercial contracting and intellectual property
• Oversee compliance with applicable internal policies and laws, rules and regulations
• Provide training to clients 
• Assist in developing contracting policies and contract templates
• Develop policies and guidelines related to software development
• Assist in due diligence for M&A activities
• Develop strong strategic relationships with clients
• Perform other duties and responsibilities as directed

What we’re looking for:

Qualified candidates will have a JD from an ABA accredited law school and at least 5 years of law firm or in-house experience with commercial contract drafting experience preferred. The ideal candidate should have experience with IT contracts, including reviewing, negotiating and drafting software licensing agreements, software development agreements, IT sales agreements, cloud, software as a service (SaaS) agreements, and service/consulting agreements. The candidate would also have substantial experience with the issues that arise in commercial use of open source software. Candidate must be a member of the California bar or practice as an in-house attorney in California. The candidate must be comfortable understanding the technical aspects of the software engineering to support the leading-edge work being done by our clients.

Candidates also must possess a commitment and dedication to meeting deadlines and the drive to consistently exceed client expectations. In addition, the candidate must demonstrate an eagerness and ability to perform in a “startup” environment where workloads are likely to be heavy and must take a “no job is too big or too small” approach to daily activities, must possess excellent computer and research skills, be able to work cooperatively and deal effectively with people throughout the organization on a global basis, be able to give practical advice, and be comfortable taking direction while working without supervision. The candidate should have sufficient technical background to be able to support an engineering organization.
